Terms of Service — Mintfolio

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Mintfolio, operated by Mintfolio, Inc. ("Mintfolio," "we," "us," or "our"). By creating an account, joining the waitlist, or otherwise accessing the platform, you agree to these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you and Mintfolio, Inc.

2. Eligibility

To use Mintfolio, you must:

Be at least 18 years of age
Be a resident of the United States or a jurisdiction where the service is lawfully available
Have the legal capacity to enter into a binding agreement
Not be prohibited from receiving services under applicable law

By using Mintfolio, you represent and warrant that you meet these requirements. We reserve the right to refuse service to any person for any lawful reason.

3. Account Registration and Security

Access to Mintfolio requires an account. During private beta, accounts are invitation-only. You are responsible for:

Providing accurate and complete registration information
Maintaining the confidentiality of your credentials
All activity that occurs under your account
Notifying us immediately at security@mintfolio.ai of any unauthorized use

You may not share your account credentials with any third party or allow any third party to access the platform using your credentials.

4. Acceptable Use

You agree to use Mintfolio only for lawful purposes and in accordance with these Terms. You agree not to:

Use automated tools, bots, scrapers, or crawlers to access or extract data from the platform
Attempt to reverse engineer, decompile, or otherwise derive source code from the platform
Circumvent or attempt to circumvent any access controls, rate limits, or security measures
Use the platform to manipulate securities markets or engage in any form of market manipulation
Transmit any content that is unlawful, harmful, defamatory, or otherwise objectionable
Resell, sublicense, or otherwise commercialize access to the platform without written consent
Use the platform to engage in or facilitate any fraudulent activity
Exceed any API rate limits or usage quotas we establish

5. Not Financial Advice

Mintfolio provides AI-powered research tools for informational and educational purposes only. Nothing on the platform constitutes financial advice, investment advice, or a recommendation to buy or sell any security. See our Investment Disclaimer for the full disclosure. You are solely responsible for your investment decisions.

6. Subscriptions and Billing

Private Beta: During the private beta period, access is provided at no charge to invited users. We reserve the right to introduce paid subscription tiers at any time with reasonable advance notice.

When paid subscriptions are introduced:

Fees will be charged in advance on a monthly or annual basis
Subscriptions auto-renew unless cancelled before the renewal date
Refunds are provided at our discretion for charges made in error
We reserve the right to change pricing with 30 days' notice

7. Intellectual Property

Mintfolio and all content, features, and functionality of the platform — including but not limited to AI models, prompts, algorithms, UI design, source code, and documentation — are owned by Mintfolio, Inc. and protected by copyright, trademark, and other intellectual property laws.

AI-generated outputs produced by the platform ("Outputs") are provided under a limited license for your personal, non-commercial use only. You may not:

Sell, license, or sublicense Outputs to third parties
Claim authorship of AI-generated Outputs
Use Outputs to train competing AI models
Represent AI-generated Outputs as the product of human financial analysis

You retain ownership of any data you upload to the platform.

8. Third-Party Services and Data

Mintfolio integrates with third-party data providers (including Financial Modeling Prep, Alpha Vantage, and SEC EDGAR) and AI providers (including Anthropic, Google, and OpenAI). Your use of Mintfolio is subject to the terms and policies of these third-party services. We do not guarantee the accuracy, completeness, or availability of third-party data.

9. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MINTFOLIO, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO FINANCIAL LOSSES ARISING FROM INVESTMENT DECISIONS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mintfolio, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or your violation of any applicable law.

11. Termination

We may suspend or terminate your access to Mintfolio at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the platform immediately ceases. Provisions that by their nature should survive termination (including IP rights, disclaimers, and limitation of liability) will survive.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of Mintfolio shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

By agreeing to these Terms, you waive your right to a jury trial and agree not to participate in any class action proceeding.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 14 days before taking effect. Your continued use of the platform after changes become effective constitutes acceptance of the updated Terms.
